How are digital assets regulated in the law just passed by the National Assembly?

(NLDO) - The National Assembly assigned the Government to specify details of contents related to digital assets to suit practical conditions and management requirements in sectors and fields.

With the Law on Digital Technology Industry passed by the 15th National Assembly on June 14, the issue of digital assets has been officially legalized. This law takes effect from January 1, 2026.

The Law on Digital Technology Industry devotes the entire Chapter V to regulating digital assets. It clearly states that digital assets are assets as prescribed by the Civil Code, expressed in the form of digital data, created, issued, stored, transferred and authenticated by digital technology in the electronic environment.

Digital assets are classified according to one or more of the following criteria: Purpose of use; Technology; Other criteria.

Digital assets include virtual assets in the electronic environment, which are a type of digital asset that can be used for exchange or investment purposes. Virtual assets do not include securities, digital forms of legal currency and other financial assets as prescribed by civil and financial laws;

Crypto assets are a type of digital assets that use encryption technology or digital technology with similar functions to authenticate assets during the process of creation, issuance, storage, and transfer. Crypto assets do not include securities, digital forms of legal currency and other financial assets as prescribed by civil and financial laws; and other digital assets.

The Law on Digital Technology Industry also provides principled provisions on the content of digital asset management, including: Creation, issuance, storage, transfer, and establishment of ownership of digital assets; Rights and obligations of parties regarding activities related to digital assets; Measures to ensure network safety and security; prevention and combat of money laundering, prevention and combat of terrorist financing, and financing of proliferation of weapons of mass destruction; Inspection, examination, and handling of violations of the law; Business conditions for providing cryptographic asset services; Other management contents.

The Law also assigns the Government to specify the above contents in detail for implementation in order to suit the practice and management requirements in sectors and fields.

Before the law was voted on, Chairman of the National Assembly's Committee on Science, Technology and Environment Le Quang Huy reported on the acceptance and explanation of a number of contents, including the issue of digital assets.

According to Mr. Le Quang Huy, there are opinions that it is necessary to build a legal framework for digital assets that specifies core issues, immediately identifies the contents that must be implemented such as property rights, ownership, transactions, security, responsibility, dispute resolution, risk management..., and establishes a mechanism for management, supervision, and risk prevention.

Some opinions also proposed to clarify whether digital assets can be used for exchange or investment purposes; proposed to clarify the content and criteria for classifying digital assets.

On this issue, the National Assembly Standing Committee finds that, according to the draft Law, digital assets have been defined as assets under current civil law. Property rights, ownership, transactions, confidentiality, liability, dispute resolution, risk management, etc. have been regulated under the provisions of criminal law, anti-corruption and anti-money laundering laws and relevant laws.

Therefore, in order to ensure the feasibility, flexibility and stability of the legal system, the draft Law only stipulates principles on this issue and assigns the Government to make specific regulations in accordance with development practices.

Incorporating the opinions of National Assembly deputies, the draft Law has more specifically stipulated a number of core contents in state management of digital assets and assigned the Government to specify in detail the authority, management contents, and classification of digital assets in accordance with the practice and management requirements in sectors and fields.
